**Community Event Sponsorship & Vendor Terms and Conditions** These Terms and Conditions ("Agreement") apply to all sponsors and vendors (“Participants”) involved in community events hosted or co-hosted by [Your Organization Name] (“Event Organizer”). **1. Eligibility** All Participants must be approved by the Event Organizer. The Event Organizer reserves the right to deny any sponsor or vendor application for any reason. **2. Payment & Fees** - Sponsorship and vendor fees must be paid in full by the deadline provided in the registration form or invoice. - Payments are non-refundable unless the event is canceled by the Event Organizer. **3. Booth Setup & Breakdown (Vendors Only)** - Setup must be completed during designated times provided prior to the event. - Vendors must not dismantle their booth before the official event end time. - All equipment and displays must be removed by the end of the designated breakdown time. **4. Sponsorship Recognition** - Sponsors will receive recognition as outlined in their specific sponsorship package (e.g., logo placement, mentions, banners, etc.). - The Event Organizer is not liable for any omissions or errors in promotional materials once approved by the sponsor. **5. Conduct & Compliance** - All Participants agree to conduct themselves professionally and respectfully during the event. - Vendors must comply with all local health, safety, and legal requirements. - The sale or distribution of illegal or inappropriate items is strictly prohibited. **6. Liability & Insurance** - Participants are responsible for their own equipment, products, and materials. The Event Organizer is not liable for any damage, loss, or theft. - Vendors are encouraged to carry their own liability insurance. **7. Cancellation & Postponement** - The Event Organizer reserves the right to cancel, postpone, or reschedule the event for any reason, including but not limited to inclement weather, low registration, or public safety concerns. - In the case of cancellation by the Event Organizer, fees may be refunded or credited to a future event at the organizer's discretion. **8. Intellectual Property** - Sponsors grant the Event Organizer permission to use logos, trademarks, and promotional materials for marketing the event. - Vendors and sponsors may not use the event’s name or branding without prior written consent. **9. Indemnification** Participants agree to indemnify and hold harmless the Event Organizer, its staff, volunteers, and affiliates from any claims, damages, or liabilities arising from their participation in the event. --- **By submitting a registration form or payment, the Participant agrees to abide by these Terms and Conditions.** --- Radio Advertising Agreement PAYMENT I agree to the automatic payment draft system to collect all monies agree upon to The Farmer Company LLC. All payments will be automatically drafted through electronic payment. There is a $50 late fee on all payments that are 5 days past agreed due date. If the company fails to satisfy the invoice by the end of business of day 5, the commercial Ads will pulled from rotation immediately until the invoice is satisfied. Two (2) Reminders of payment are sent to the email the business representative has provided during the initial signing of the agreement. All Services will need to be paid in Full to The Farmer Company LLC. All Payment Plans need to be paid in full to The Farmer Company LLC each week or month, whichever option that was selected by the company’s representative. Funds can be paid via Company Check, Electronic Checking, Debit Card, Credit Card or Money Order made out to The Farmer Company LLC. The Farmer Company reserves the right to collect any funds due via credit collection or legal action. TRADE AGREEMENTS All trade and barter agreements are to be completed once The Farmer Company LLC has received traded products or services. If commercial advertising is not redeemed by advertisers within 60 days they will forfeit their trade within the agreement. There no refunds for any services with The Farmer Company LLC Advertisers will refrain from involvement with illegal activities or services. In addition, The Farmer Company LLC may in its complete discretion refuse the use of any other advertising that it deems to be inappropriate. USAGE STATISTICS The Farmer Company LLC makes no guarantee of any level of traffic at any given time. The Farmer Company/Publisher shall not be held liable for any claims as they relate to published OR Unpunished usage statIstics. The Farmer Company LLC is not required to provide advertisers with usage statistics. TRUTH IN ADVERTISING INDEMNIFICATION FOR LIABILITY Advertiser is solely responsible for any legal liability arising out of or relating to (1) the Advertisement, and/or (2) any material which users can link through the Advertisement. Advertiser represents and warrants that the Advertisement and Link comply with The Farmer Company LLC advertising standards; and Than a holds The perpy to permit the use of the Advertisement and Link by The Farmer Company LLC for the purpose of this Agreement; and that the use, reproduction, distribution, or transmission of the Advertisement will not violate any criminal laws or any rights of any third parties, including, but not limited to, such Violations as antringement or misappropriation Of any copyright, patent, trademark, trade secret, music, image, or other proprietary or property right, false advertising, unfair competition, defamation, invasion of privacy or rights of celebrity, violation of any anti-discrimination law or regulation, or any other right of any person or entitv. Advertiser agrees to indemnify The Farmer Company LLC and to hold The Farmer Company LLC harmless from any and all liability, loss, damages, claims, or causes of action, including reasonable legal fees and expenses that may be incurred by The Farmer Company LLC, arising out of or related to Advertiser's breach of any of the foregoing representations and warranties. Advertiser agrees to request that The Farmer Company LLC be listed as an additional insured on any policy issued to Advertiser pursuant to which there could be coverage for any or the forms legal liability described in this paragraph.
